2. Eligibility and Authority

If you use StagePanda on behalf of a company, organization, or institution, you represent and warrant that you have the authority to bind that entity to these Terms.
3. Accounts and Registration
To access certain features, you must create an account.
You agree to:
- Provide accurate, current, and complete information
- Maintain the confidentiality of your credentials
- Accept responsibility for all activities under your account
Team Docs Inc. is not responsible for unauthorized access resulting from your failure to safeguard account credentials.
4. User Roles
StagePanda supports multiple roles, including but not limited to:
- Event organizers
- Speakers and presenters
- Sponsors and exhibitors
- Attendees and participants
Each user remains solely responsible for their conduct, content, and compliance with applicable laws.
5. Acceptable Use
You agree not to use StagePanda to:
- Upload content you do not own or have rights to
- Infringe intellectual property, privacy, or publicity rights
- Harass, abuse, impersonate, or defame others
- Transmit malware, spam, or malicious code
- Reverse-engineer, scrape, or exploit the Platform
- Use the Services for unlawful or fraudulent purposes
We reserve the right to investigate violations and suspend or terminate accounts as necessary.
6. User Content and Ownership
6.1 Ownership
You retain full ownership of all content you upload or submit on StagePanda, including:
- Presentations, slides, documents
- Audio and video recordings
- Polls, feedback, testimonials, and Q&A
- Speaker profiles and event materials
6.2 License to Team Docs Inc.
You grant Team Docs Inc. a limited, non-exclusive, worldwide, royalty-free license to host, store, display, transmit, and distribute your content solely to operate and improve StagePanda's functionality.
Team Docs Inc. will not:
- Sell user content
- License user content to third parties
- Use user content for marketing without explicit permission
6.3 Content Deletion
You may remove your content at any time. We will stop using deleted content except where retention is required for:
- System backups (for a limited period)
- Legal or regulatory obligations
7. Subscriptions, Billing, and Payments
7.1 Plans
StagePanda offers free and paid subscription plans.
7.2 Free Trials
Paid plans may include a 14-day free trial, unless otherwise stated.
7.3 Auto-Renewal
Subscriptions renew automatically unless canceled prior to renewal.
7.4 Cancellation and Refunds
- Monthly plans are non-refundable once billed
- Annual plans may be canceled within 30 days for a prorated refund
- No refunds for unused portions outside these terms
8. Third-Party Services
StagePanda may integrate with third-party services (e.g., payment processors, video platforms, analytics providers).
Team Docs Inc. is not responsible for third-party services, which are governed by their own terms and policies.
9. Data Hosting and Privacy
- Data is hosted on Microsoft Azure
- We comply with applicable data protection laws, including GDPR and CCPA where applicable
- Users may delete their accounts and associated data
- Data portability is not guaranteed

10. Intellectual Property
All StagePanda software, trademarks, branding, and proprietary technology are owned by Team Docs Inc. or its licensors.
You may not copy, modify, distribute, or exploit any part of the Platform without written authorization.
11. Suspension and Termination
We may suspend or terminate access:
- For violation of these Terms
- For illegal or harmful activity
- To comply with legal obligations
You may terminate your account at any time through account settings.
12. Disclaimers
StagePanda is provided "as is" and "as available."
We do not guarantee:
- Uninterrupted or error-free service
- Accuracy of analytics or AI-generated outputs
- Specific outcomes from events or presentations
13. Limitation of Liability
To the maximum extent permitted by law:
Team Docs Inc. shall not be liable for indirect, incidental, or consequential damages, including loss of data, revenue, or business opportunities.
Total liability shall not exceed the fees paid by you in the 12 months preceding the claim.
14. Indemnification
You agree to indemnify and hold harmless Team Docs Inc. from claims, damages, or losses arising from:
- Your use of StagePanda
- Your content
- Your violation of these Terms or applicable law
15. Governing Law and Jurisdiction
These Terms are governed by the laws of Ontario, Canada, without regard to conflict of law principles.
Any disputes shall be resolved exclusively in the courts of Ontario, Canada.
16. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via the Platform or email.
Continued use constitutes acceptance.
